Kelliher & Salzer represents small to large business owners, commercial real estate developers, property management companies, private equity advisors and investors who are acquiring and selling property throughout the United States. The size and class of property is wide-ranging, and includes:

We assist clients in the preparation, review, and negotiation of purchase and sale agreements, ground leases, easement agreements, joint venture agreements and more.  Our experience covers both single-asset or multi-property transactions.  In addition, we routinely review and negotiate financial documents associated with the acquisition or disposition of real property.

Development

We guide owners, tenants, developers, and lenders through complex real estate development projects throughout the country. Our experience includes a deep understanding of the finer details of acquiring land and planning for its subsequent development, finance/refinance, and/or rehabilitation.

Our lawyers also advise clients regarding tax credit strategies and other cost-saving techniques when planning the acquisition and/or development of land. We have represented big box retailers in connection with land assembly and development projects, as well as provided counsel to public-private partnerships and to clients seeking governmental inducements for their projects.

Financing

We represent borrowers and financial institutions in a wide range of mortgage financing transactions, including:

  • acquisition and bridge loans,
  • construction loans,
  • loan assumptions,
  • permanent loans, and
  • ground lease and sale-leaseback transactions.

  • a large, Maryland developer re-financing mixed-use, office and retail properties in its portfolio;
  • local small business owners acquiring land and buildings
  • an investor group securing a construction loan for the development of private student housing at a State university;
  • regional banks lending money to business owners for the acquisition or redevelopment of their properties;
  • an investor group with respect to a loan modification agreement and the subsequent refinance of a marquee office building and;
  • a large developer of low income housing projects, including acquisition and bond financing.

Our firm has extensive and diverse experience in commercial leasing transactions.  We represent tenants, landlords, property and retail management companies of all sizes in negotiating leases of office, retail, and industrial space. We regularly help clients consider alternative leasing options, and negotiate subleases and surrender agreements on their behalf.
