ACQUISITIONS & DISPOSITIONS

We represent private equity advisors, investors, and companies acquiring and selling property throughout the United States. The size and asset classes of property is wide-ranging, and includes:

  • multi-family projects,
  • distribution centers,
  • office buildings, and
  • retail shopping centers.

We also represent clients in their acquisition of equity interests in, and debt secured by, real property. In connection with acquisitions and recapitalizations of investments, we have helped form joint ventures with their partners on behalf of our clients.

DEVELOPMENT & LAND USE

We guide owners, tenants, developers, and lenders through complex real estate development projects throughout Maryland. Our experience includes a deep understanding of the finer details of acquiring land and planning for its subsequent development, finance/refinance, and/or rehabilitation.

Our lawyers also advise clients regarding tax credit strategies and other cost-saving techniques when planning the acquisition and/or development of land. Representing clients with zoning, land use, site plan review, and enforcement matters are integral parts of our daily practice, but we also routinely provide counsel to clients on homeowner association (HOA) developments, planned unit developments (PUD), and road closures.

We have represented big box retailers in connection with land assembly and development projects, and provided counsel to public-private partnerships and to clients seeking governmental inducements for their projects.

FINANCING

We represent borrowers and financial institutions in a wide range of mortgage financing transactions, including:

  • acquisition and bridge loans,
  • conduit loans,
  • construction loans,
  • credit facilities,
  • defeasances,
  • loan assumptions,
  • permanent loans, and
  • ground lease and sale-leaseback transactions.

Examples of our financing experience include representing:

  • a large, Maryland developer re-financing mixed-use, office and retail properties in its portfolio;
  • an investor group securing a construction loan for the development of private student housing at a State university;
  • regional banks lending money to business owners for the acquisition or redevelopment of their properties;
  • an investor group with respect to a loan modification agreement and the subsequent refinance of a marquee office building;
  • a publicly-traded real estate investment trust in the purchase-money financing of a portfolio of properties in Colorado, Georgia, Minnesota, and Virginia; and
  • a large, privately-held owner and operator of assisted living facilities in its capitalization of a portfolio of senior housing properties

LEASING

We have extensive experience negotiating leases of office, retail and industrial space, on behalf of large and small landlords and commercial tenants. We regularly help clients consider alternative leasing options, and negotiate subleases and surrender agreements on their behalf.

Examples of our leasing experience include representing:

  • a Fortune 100 defense contractor in its leasing needs at sites throughout the United States and abroad;
  • one of the largest owners of commercial real estate in the United States by negotiating leases, with anchor and in-line tenants, in connection with its redevelopment of a shopping mall;
  • small business owners negotiating leases for retail and office spaces;
  • institutional clients and publicly-traded companies with respect to their office, warehouse, and industrial leasing needs; and
  • a consulting firm entering into leases of built-to-suit office spaces.
